This Terms of Use Agreement ("Agreement") between you and Geni.com ("Geni " or the "Company") sets forth the legally binding terms for your use of the Geni.com website (including all the areas of the site) and any successor websites ("Website") and the services, software, and applications the Website provides online and makes available offline (collectively, "Geni Services"). By accessing or using any of the Geni Services, you signify that you have read, understood, and agree to be bound by this Agreement and to the collection and use of your information as set forth in the Geni Privacy Policy, whether or not you are a registered user of the Geni Services.

Please read this agreement carefully to ensure that you understand each provision.

For U.S. customers and U.S. individuals: this Agreement includes arbitration and class action waiver provisions that waive your right to a court hearing, right to a jury trial, and right to participate in a class action. Arbitration is mandatory and is the exclusive remedy for any and all disputes unless specified below. These provisions form an essential basis for our Agreement.

This Agreement includes the acceptable use of the Geni Services and content posted on the Website, and your rights, obligations and restrictions regarding your use of the Geni Services. Please see Geni's Privacy Policy for more information about how we collect, use, and share information on the Website.

Geni may modify this Agreement at any time and such modification shall be effective upon posting by Geni on the Website. You agree to be bound to any changes to this Agreement when you use the Geni Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes. Your continued use of the Geni Services after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Geni Services. It is further clarified that as long as you keep an account on Geni and refrain from deleting it, this will mean that you are continuing to use the Geni Services and agree to be bound to any changes to this Agreement.

Please choose carefully the information you post on Geni.com and that you provide to other users. You agree that your Geni.com profile and other Content shall not include any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit, otherwise objectionable subject matter, or otherwise violate this Agreement, including section 7 below. Despite this prohibition, information provided by other Website Members (for instance, in their profile) may contain inaccurate, inappropriate, offensive, sexually explicit, or otherwise inappropriate material and Geni assumes no responsibility or liability for this material. If you become aware of misuse of the Geni Services by any person, please contact Geni at misconduct@geni.com. You should not provide Geni the email address of anyone under 13 years of age (16 in the European Union) as a part of Geni's efforts to protect children (see our safety tips).

Geni reserves the right, in its sole discretion, to reject, block, refuse to post or remove any Content or other posting (including private messages) by you, or to restrict, suspend, or terminate this Agreement or your access to all or any part of the Geni Services at any time, for any or no reason, with or without prior notice, and without liability.

  1. Eligibility. Use of and Membership in the Geni Services is void where prohibited. You may use the Geni Services only if you can form a binding contract with Geni, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. Any use or access to the Geni Services by anyone under 13 years of age (16 in the European Union) is strictly prohibited and in violation of this Agreement. By using the Geni Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 16 years of age or older if residing within the European Union, or 13 years of age or older elsewhere; and (d) your use of the Geni Services does not violate any applicable law or regulation. Your Content and profile may be deleted and your Membership may be terminated without warning, if Geni.com believes that you are under the above-stated minumum age. The Geni Services are not available to any Member previously removed from the Geni Services by us.
  2. Term. This Agreement shall remain in full force and effect while you use the Geni Services or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on the Member's Account Settings page. Geni.com may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect.
  3. Geni Accounts, Password and Email. Your Geni account gives you access to the services and functionality that we may establish and maintain from time to time and in our sole discretion. We may maintain different types of accounts for different types of users. If you open a Geni account on behalf of a company, organization, or other entity, then (a) "you" includes you and that entity, and (b) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement, and that you agree to this Agreement on the entity's behalf. When you sign up to become a Member, you will also be asked to choose a permanent password and supply your email address. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Geni.com immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account. By registering and providing your email address, you consent to Geni.com communicating with you by email, including without limitation, to provide you notice of any security breach in lieu of other written notification. You may opt-out of this email communication by contacting us at misconduct@geni.com.

    By providing Geni your email address you consent to our using the email address to send you Service-related notices, including among other things notices required by law, in lieu of postal mail. You may not opt out of Service-related e-mails. We may also use your email address to send you other messages, including changes to Geni features and special offers. If you do not want to receive such email messages, you may opt out by changing your account settings or by sending mail to the following postal address:

  4. Non-commercial Use by Members. The Geni Services are for the personal non-commercial, and human use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved in writing by Geni. Illegal and/or unauthorized use of the Geni Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending spam, unsolicited email or unauthorized framing of or linking to the Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the Geni Services.
  5. Billing and Payments.
    1. General. Member agrees to pay for all products ordered through the Website using the payment method indicated, and provides Geni express authorization to charge said fees to the Member's payment provider at time of purchase or renewal. Fees owed depend on the specific type and quantity of Geni products, services, information, or deliverables (collectively "Deliverables") ordered. Payment of fees shall not be contingent on any events other than the delivery of the ordered Deliverables. Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be the responsibility of and paid for by Member. If payment is not current, Geni may immediately cease to provide any and all Deliverables to the Member.

      It is the Member's responsibility to promptly provide the Company with any contact or billing information changes or updates (including phone number, email address, credit card numbers, etc.). Account updates should be made online via the "Settings" tab within the "Billing Information" section, once Member has logged into www.Geni.com. Geni does not validate all credit card information required by the Member's payment provider to secure payment.

    2. Subscriptions. Your Geni premium membership may start with a free trial. The free trial period of your membership lasts for 14 days, or as otherwise specified during sign-up. You must have a current valid accepted payment method as indicated during sign-up to use a premium membership. Limit one free trial per user.

      Prepaid fees for annual and multi-year subscriptions will be refunded based on the number of months remaining on the contract period, beginning with the month following receipt of written cancellation, but may be subject to adjustment according to current product pricing and subject to adjustment for any taxes, incentives or discounts provided for said prepayment. A Member choosing to cancel a prepaid subscription prior to the end of its prepaid term may also be subject to a $15 processing fee. No partial month refunds will be provided.

      Subscriptions will automatically renew using the Member's current credit card account number unless Member cancels their subscription on the Website at https://www.geni.com/account_settings/premium_account three (3) days prior to the renewal date to cancel such subscription. All cancellation requests will be processed within five (5) business days. Once the cancellation is processed, a confirmation email will be sent via the Member's email account on record with Geni. If Member has a question about a cancellation, Member should contact Geni at subscriptions@geni.com. The fees paid for monthly subscriptions are non-refundable, regardless of whether the subscription is terminated prior to the end of the then-current billing period. The Company reserves the right to change its fees or billing methods at any time.

      The Member must notify Geni about any billing problems or discrepancies within 90 days after charges first appear on their Account statement. If it is not brought to Geni's attention within 90 days, Member agrees to waive their right to dispute such problems or discrepancies.

    3. Free Trial. Free trial subscriptions will be billed only at the end of the free trial period. You may cancel a free trial at any time during the free trial period from the Premium account settings page and incur no charge. On that page, choose "Make changes to your Geni Pro subscription", enable the checkbox labeled "Cancel my trial" and click Save Changes.
      To start a free trial, your payment details will be required. By providing your payment details and accepting this Agreement, you agree that the Company may automatically begin charging you for the paid subscription after the free trial ends on a recurring annual basis. Visa cardholders will be notified by email 7 days before a free trial ends.
    4. Taxes. Member will be responsible for any applicable sales or use tax, duties, or other governmental taxes or fees payable in connection with your purchase. If you do not pay such sales or other tax or fee on a transaction, you will be responsible for such taxes or fees in the event that they are later determined to be payable on such sale, and Company reserves the right to collect such taxes or other fees from you at any time.
  6. Proprietary Rights in Content.
    1. Geni does not claim any ownership rights in the text, information, files, images, photos, video, sounds, musical works, works of authorship, or any other materials that you post to the Geni Services, including without limitation, to your profile, to a node or profile of any third party, or to our forum or wiki (collectively, "Content"). After posting your Content to the Geni Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. If, however, you invite other Members to share your family tree on the Service, or agree to merge your family tree with another Member's family tree on the Service (in either case, a "Shared Family Tree"), then you agree that you will not delete Content in the Shared Family Tree except to correct inaccurate or offensive data. Willful destruction of Content in a Shared Family Tree without Geni's written permission is a breach of this Agreement and grounds for termination of your Member account. By displaying or publishing ("posting") any Content on or through the Geni Services, you hereby grant, and you represent and warrant that you have the right to grant, to Geni a limited license to use, modify, publicly perform, publicly display, reproduce, distribute, and create derivative works of such Content solely on and through the Geni Services for commercial and non-commercial purposes and Geni's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Geni Services (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each Member of the Geni Services a non-exclusive license to access your Content through the Geni Services, and to use, reproduce, distribute, display and perform such Content as permitted through the functionality of the Geni Services, under this Agreement and your privacy settings.
    2. Except for your Content, the Geni Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and user Content belonging to other users or Members ("Geni Content") and all intellectual property rights related thereto, are the exclusive property of Geni and its licensors (including other users or Members who post their Content to the Geni Services). Geni Content is protected by copyright, trademark, patent, trade secret and other laws, and Geni owns or licenses and retains all rights in the Geni Content and the Geni Services. Geni hereby grants you a limited, revocable, nonsublicensable, non-transferable license to reproduce and display the Geni Content (excluding any software code) solely for your personal non-commercial use in connection with viewing the Website and using the Geni Services in accordance with this Agreement.
    3. The Geni Services contain Content of users, Members, and other Geni.com licensors. Except for Content posted by you, or as expressly permitted by the privacy settings of a user, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content or Geni.com Content appearing on or through the Geni Services.
  7. Content Posted.
    1. Geni may delete any Content that in the sole judgment of Geni.com violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person or for any other reason. Geni.com assumes no responsibility for monitoring the Geni Services for inappropriate Content or conduct. If at any time Geni chooses, in its sole discretion, to monitor the Geni Services, Geni nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the Member or user posting any such Content.
    2. You are solely responsible for the Content that you post on or through any of the Geni Services, and any material or information that you transmit to other Members and for your interactions with other users. Geni does not endorse and has no control over the Content. Content is not necessarily reviewed by Geni prior to posting and does not necessarily reflect the opinions or policies of Geni. Geni makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.
  8. Content/Activity Prohibited.
    1. The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the Geni Services or activities that are illegal or prohibited on the Website or in connection with the Geni Services. Geni reserves the right to investigate and take appropriate legal action against anyone who, in Geni's sole discretion, violates this provision, including without limitation, removing the offending communication from the Geni Services suspending and/or terminating the Membership of such violators, and/or reporting you to law enforcement authorities. Prohibited Content and/or activities includes, but is not limited to Content and/or activities that, in the sole discretion of Geni:
      1. is offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
      2. harasses or advocates harassment of another person;
      3. exploits people in a sexual or violent manner;
      4. contains nudity, violence, or offensive subject matter or contains a link to an adult website;
      5. promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
      6. promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
      7. involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
      8. contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
      9. furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
      10. solicits passwords or personal identifying information for commercial or unlawful purposes from other Members or users;
      11. involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
      12. infringes or misappropriates any third party's patent, trademark, service mark, copyright, moral rights, trade secrets or other intellectual property;
      13. invades or violates any third party's right to privacy;
      14. criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of invalid data, worms, viruses or other harmful files, copyright, trademark, or patent infringement, or theft of trade secrets;
      15. advertising to, or solicitation of, any Member to buy or sell any products or services through the Geni Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Geni Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, Geni.com reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which Geni.com deems appropriate in its sole discretion;
      16. covering or obscuring the banner advertisements on your personal profile page, or any Geni.com page via HTML/CSS or any other means;
      17. any automated use of the system, such as using scripts to follow users or send comments or messages;
      18. interfering with, disrupting, or creating an undue burden on the Geni Services or the networks or services connected to the Geni Services;
      19. attempting to impersonate another Member or person or posting any third party's (including without limitation any family member's) information on the Geni Services without permission;
      20. using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
      21. selling or otherwise transferring your profile;
      22. using any information obtained from the Geni Services in order to harass, abuse, or harm another person;
      23. displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the Geni Services on behalf of that person, such as placing commercial content on your profile or posting blogs or bulletins with a commercial purpose;
      24. using the Geni Services in a manner inconsistent with any and all applicable laws and regulations;
      25. use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc., that access the Geni Services in a manner that sends more request messages to the Geni Services servers than a human can reasonably produce in the same period by using a conventional on-line web browser;
      26. collect or harvest any personally identifiable information, including names or email addresses, from the Geni Services, nor use the Geni Services for any commercial solicitation purposes without prior written consent from Geni.com; or
      27. rent, lease, transfer, sell, resell, or otherwise exploit for any commercial purpose, any portion of or access to the Geni Services.
    2. Restrictions on AI Harvesting and Interaction. The use of AI agents, bots, automated systems, or any other artificial intelligence technology ("AI Tools") to access, scrape, crawl, harvest or collect data from the Website or the Geni Services (including but not limited to family trees, historical records, and photographs and DNA results) is strictly prohibited. Furthermore, you may not use AI Tools to interact with the Website's features, automated workflows, or messaging systems. You are expressly forbidden from using any content, data, or information from the Website or the Geni Services to train, develop, improve, or operate any artificial intelligence model, machine learning system, large language model (LLM), or similar technology.
    3. Prohibition on AI Proxies and Gateway Accounts. You must not facilitate access to your Geni account by any AI Tool or third-party automated interface. This includes, without limitation, arranging for an AI Tool to access the Geni Services to provide a derivative service, search function or data summary for yourself, other users, or any other third party. Using your account as a "gateway" to provide AI-based insights to non-subscribers is a material breach of these Terms, intended to protect the proprietary nature of our database and the subscription-based access model of the Geni Services. Any use of the Geni Services that bypasses our subscription requirements or facilitates unauthorized access to our database via AI-mediated tools is a material breach of these Terms and will result in the immediate termination of your account and potential legal action.
  9. Use of Data and Attribution Users of the Website or Members may collect and use other user Content only to the extent allowed by such Member's privacy settings subject to our Privacy Policy and solely limited to that Content that is designated as public by the Member. If you collect and/or use any such Content you agree to the following: (a) provide proper attribution to Geni, (b) provide a link to the Geni Website, and (c) include a statement that your use/product/website is not endorsed by or affiliated with Geni.
  10. Copyright Policy. You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Geni to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of prompt notification to Geni by the copyright owner or the copyright owner's legal agent.

    Without limiting the foregoing, it is our policy to respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act of 1998 ("DMCA"). The DMCA provides remedies for copyright owners who believe that material appearing over the Internet infringes their rights under United States copyright law. To learn more about the DMCA, please visit the U.S. Copyright Office website at https://www.copyright.gov/legislation/dmca.pdf.

    If you are a copyright owner or an agent thereof, and you believe in good faith that any content hosted on the Website infringes your copyrights, then you may submit a notification pursuant to the DMCA to our Designated Copyright Agent, either by mail to: Copyright Notices, Geni.com, 2080 Empire Avenue #1233, Burbank, CA, 91504 or by email to: misconduct@geni.com.

    Notices must meet the then-current statutory requirements imposed by the DMCA. Please include the following information in your notice:

    • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed by the material(s).
    • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at the Website are covered by a single notification, a representative list of such works.
    • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Geni to locate the material (providing URLs is the best way to help us locate content quickly).
    • Information reasonably sufficient to permit Geni to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.
    • A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
    • A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

    If you are unsure whether you hold rights to a particular work or if the material you are reporting is in fact infringing, please consult an attorney or another adviser, as Geni cannot provide legal advice. Note that there can be penalties for false claims under the DMCA.

  11. Member Disputes. You are solely responsible for your interactions with other Geni.com Members. Geni reserves the right, but has no obligation, to monitor disputes between you and other Members.
  12. Privacy. We care about the privacy of our users. Click here to view our Privacy Policy. By using the Service, you are consenting to have your personal data transferred to and processed in the United States.
  13. Security. Geni is intended to be a private family network. We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
  14. Disclaimers.
    1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENI, ITS OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, LICENSORS AND AFFILIATES BE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE CONTENT POSTED ON THE WEBSITE OR IN CONNECTION WITH THE GENI SERVICE, WHETHER CAUSED BY USERS OF THE WEBSITE, MEMBERS, OUR ADVERTISERS OR CORPORATE PARTNERS, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE OPERATION OF THE WEBSITE OR THE GENI SERVICE.
    2. GENI AND ITS LICENSORS AND AFFILIATES ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY MEMBER OR OTHER USER OF THE WEBSITE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENI BE RESPONSIBLE FOR ANY LOSS OR DAMAGE, INCLUDING LOST DATA, LOST INFORMATION, PERSONAL INJURY OR DEATH, RESULTING FROM ANYONE'S USE OF THE WEBSITE OR THE GENI SERVICES, ANY CONTENT POSTED ON THE WEBSITE OR TRANSMITTED TO MEMBERS OR OTHER USERS, OR ANY INTERACTIONS BETWEEN OR AMONG MEMBERS OR OTHER USERS OF THE WEBSITE, WHETHER ONLINE OR OFFLINE.
    3. GENI ASSUMES NO RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, OR ALTERATION OF, USER OR MEMBER COMMUNICATIONS; AND ARE NOT RESPONSIBLE FOR ANY PROBLEMS OR TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR LINES, COMPUTER ONLINE SYSTEMS, SERVERS OR PROVIDERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF E-MAIL OR PLAYERS ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE OR COMBINATION THEREOF. GENI AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR ANY INJURY OR DAMAGE TO ANY COMPUTER EQUIPMENT BELONGING TO ANY USER OF THE WEBSITE, ANY MEMBER, OR ANY OTHER PERSON RELATED TO OR RESULTING FROM USE OF THE WEBSITE, VIEWING, PLAYING OR DOWNLOADING ANY MATERIALS ON OR FROM THE WEBSITE, OR OTHERWISE IN CONNECTION WITH THE SERVICE.
    4. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE GENI SERVICES IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR WIRELESS DEVICE AND FOR ANY LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD. GENI DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SERVICES. THE GENI SERVICES MAY CONTAIN LINKS TO THIRD-PARTY WEBSITES THAT ARE NOT OWNED OR CONTROLLED BY GENI. GENI HAS NO CONTROL OVER, AND ASSUMES NO RESPONSIBILITY FOR, THE CONTENT, POLICIES, OR PRACTICES OF ANY THIRD-PARTY WEBSITES. YOU EXPRESSLY RELIEVE GENI FROM ANY AND ALL LIABILITY ARISING FROM YOUR USE OF ANY THIRD-PARTY WEBSITE OR SERVICES. GENI DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED WEBSITE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING. GENI WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
    5. GENI MAY IN ITS SOLE DISCRETION, BUT IS NOT OBLIGATED TO, PREVIEW, REVIEW, SCREEN, REMOVE, OR EDIT CONTENT. YOU MAY BE EXPOSED TO CONTENT THAT IS INACCURATE, OFFENSIVE, INDECENT, OBJECTIONABLE, INFRINGING, AND YOU HEREBY AGREE TO WAIVE ANY LEGAL RIGHTS AND REMEDIES YOU MAY HAVE AGAINST GENI FOR SUCH EXPOSURE.
  15. Limitation on Liability. IN NO EVENT SHALL GENI BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE GENI SERVICES, EVEN IF GENI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, GENI'S LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO GENI FOR THE GENI SERVICES DURING THE TERM OF MEMBERSHIP. GENI ASSUMES NO LIABILITY WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE GENI SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE GENI SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE GENI SERVICES, AND/OR (VI) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. YOU SPECIFICALLY ACKNOWLEDGE THAT GENI SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

    The Geni Services are controlled from our facilities in the United States. Geni makes no representations that the Geni Services are appropriate or available for use in other locations. Those who access or use the Geni Services from other jurisdictions do so at their own volition and are responsible for compliance with local law.

  16. For U.S. Customers and U.S. Individuals: Dispute Resolution by Binding Arbitration and Class Action Waiver: This arbitration and class action waiver provision applies to all customers and individuals located in the United States and its territories. Please read this arbitration provision carefully to understand your rights. Except where prohibited by governing law, you and Geni agree that any Claim that may arise by you against Geni or vice versa must be resolved through final and binding individual, confidential arbitration. Except as provided herein, you and Geni both agree that you and Geni are waiving the right to a trial by jury. The rights that would have been had by going to court, such as discovery or the right to appeal, may be more limited or may not exist. You agree that you may only bring a claim in your individual capacity and not as a plaintiff (lead or otherwise) or class member in any purported class or representative proceeding. You further agree that the arbitrator may not consolidate proceedings or claims or otherwise preside over any form of a representative or class proceeding.
    1. General

      Arbitration is a manner of resolving a "Claim" without filing a lawsuit. "Claim" means any dispute, actions, or controversies between you, Geni, or any involved third party relating to your account, the Website or the Geni Services, your relationship with Geni, communications from or with Geni, this Agreement (including those relating to the formation, breach, termination, enforcement, interpretation, validity, scope, or applicability of the Agreement and this arbitration agreement), the Privacy Policy and any documents or agreements incorporated by reference in any of the foregoing. You, Geni, or any involved third party may pursue a Claim. Except as otherwise provided herein, should Geni have any Claims against you, it agrees to resolve such Claims exclusively through final and binding individual, confidential arbitration. Likewise, except as otherwise provided herein, should you have any Claims against Geni, you agree to resolve such Claims exclusively through final and binding individual, confidential arbitration. By agreeing to arbitrate, you waive the right to go to court and agree instead to resolve any Claims exclusively through final and binding individual, confidential arbitration. This arbitration provision sets forth the terms and conditions of our agreement to final and binding confidential arbitration and is governed by and enforceable under the Federal Arbitration Act (the "FAA"), 9 U.S.C. §§ 1-16, as amended. You agree that this Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods and that any and all Claims shall be subject to the terms of this provision.

    2. Exceptions

      Notwithstanding the foregoing, and as an exception to final and binding confidential arbitration, you and Geni both retain the right to pursue, in small claims court, any claim that is within that court's jurisdiction and proceeds on an individual (non-class and non-representative) basis. Geni will not demand arbitration in connection with any individual claim that you properly file and pursue in a small claims court, so long as the claim is and remains pending in that court on an individual basis. The following claims shall not be subject to final and binding arbitration and must be adjudicated only in the courts located in Wilmington, Delaware: (i) infringement or validity of our intellectual property rights or the intellectual property rights of a third party; or (ii) an action by Geni for injunctive or other provisional relief for breach or threatened breach of this Agreement. You expressly agree to refrain from bringing or joining any claims that are excluded from final and binding arbitration pursuant to this subsection "2" in any representative or class-wide capacity, including but not limited to bringing or joining any claims in any class action or any class-wide or representative arbitration. Small claims matters may be filed in any small claims court with personal and subject matter jurisdiction over the parties. For all other matters excluded from final and binding arbitration by this subsection "2," the parties consent to exclusive jurisdiction and venue in the courts located in Wilmington, Delaware, and forever waive any challenge to said courts' jurisdiction and venue.

    3. Required Pre-Dispute Procedures

      Before initiating any Claim against the other, you and Geni agree to first contact each other with a written notice of the dispute, stating the name, address, and contact information of the party giving notice; the facts giving rise to the Claim; and the relief requested, and including all relevant documents and information. You may send the written notice of dispute by e- mail to legal-help@geni.com or by writing to Geni.com, 2080 Empire Avenue #1233, Burbank, CA 91504 USA, by courier or registered mail. Geni will contact you by letter at the billing address you provided to us or at the email address you provided to us. If the dispute is not resolved within 60 days after receipt of the written description of the dispute, you and Geni agree that all Claims shall be resolved exclusively through the dispute resolution provisions below.

    4. Commencing Arbitration

      You and Geni agree to commence any arbitration proceeding within 1 year after the Claim arises (the 1-year period includes the required pre-dispute procedures set forth above) and that any arbitration proceeding commenced after 1 year shall be forever barred.

    5. Arbitration Location

      The arbitration may be conducted by telephone (or other remote means) or by written submissions in Wilmington, Delaware, in the city or county where you reside, or another forum mutually agreed upon by you and Geni.

    6. Organization, Rules, and the Arbitrator

      All Claims other than those exempted under subsection "2" above shall be submitted to final and binding individual, confidential arbitration before a single arbitrator of NAM (National Arbitration and Mediation). The arbitration will be conducted in accordance with this Agreement and this arbitration agreement and the provisions of NAM's Comprehensive Dispute Resolution Rules and Procedures, the Mass Filing Supplemental Dispute Resolution Rules and Procedures, and any supplemental rules and fee schedules in effect at the time of submission of the demand for arbitration and as applicable (the "NAM Rules"). The arbitrator shall be selected by agreement of the parties or, if the parties cannot agree, chosen in accordance with the NAM Rules. The NAM Rules are available at https://namadr.com/resources/rules-fees-forms/ or by calling 1-800-358-2550. The arbitrator shall have the exclusive and sole authority to resolve any dispute relating to the interpretation, construction, validity, applicability, formation, or enforceability of this Agreement, the Privacy Policy, any documents or agreements incorporated by reference in any of the foregoing, and this arbitration provision. The arbitrator shall have the exclusive and sole authority to determine all threshold arbitrability issues, including whether any Claim is arbitrable and whether this Agreement is unconscionable or illusory, in whole or in part, and any defense to arbitration, including waiver, delay, laches, or estoppel. The arbitrator shall have the exclusive and sole authority to determine whether this arbitration agreement can be enforced against a non-signatory to this agreement and whether a non-signatory to this agreement can enforce this provision against you or Geni. Payment of all filing, administration and arbitrator fees will be governed by the NAM Rules. For individual, non-mass arbitrations, Geni will pay the fees charged by the arbitrator for Claims totaling less than $750, unless the arbitrator determines the Claims are frivolous, in which case, Geni reserves the right to seek reimbursement from you for any arbitrator fees paid. Likewise, Geni will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the Claims are frivolous. In all other respects, the parties shall each pay their own additional fees, costs, and expenses, including, but not limited to, those for any attorneys, experts, documents, and witnesses. The arbitrator shall follow the substantive law of the State of Delaware without regard to its conflicts of laws principles. Any award rendered shall include a confidential written opinion and shall be final, subject to appeal under the FAA. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

    7. Enforceability

      This provision survives termination of your account or relationship with Geni, bankruptcy, assignment, or transfer. If the class action waiver is deemed unenforceable (i.e., unenforceability would allow arbitration to proceed as a class or representative action), then this entire arbitration provision shall be rendered null and void, and you and Geni shall be deemed not to have agreed to arbitrate Claims. If a portion of this arbitration provision (other than the class action waiver) is deemed unenforceable, the remaining portions of this arbitration provision shall remain in full force and effect.

    8. Amendments

      Geni reserves the right to amend this arbitration provision at any time. Your continued use of the Website and/or the Geni Services is affirmation of your consent to such changes. Should the changes to this arbitration provision be material, Geni will provide you notice and an opportunity to opt-out. Your continued use of the Website and/or the Geni Services is affirmation of your consent to such material changes.

    9. Mass Arbitrations

      After the required pre-dispute resolution procedures in subsection "3" above are exhausted, and to increase efficiency of resolution, in the event 25 or more similar arbitration demands against Geni are filed by or with the assistance or involvement of the same or coordinated law firm(s) or organization(s) ("Mass Arbitration"), you and we agree that such Mass Arbitration shall be governed by the NAM Rules in effect when the Mass Arbitration is filed or coordinated, excluding any rules that permit arbitration on a class-wide or other representative basis, and under the rules set forth in this Agreement and this arbitration agreement. You and we agree that the Mass Arbitration shall be resolved using NAM's Mass Filing Supplemental Dispute Resolution Rules and Procedures, available at https://www.namadr.com/ . The individual demands comprising the Mass Arbitration shall be submitted on NAM's claim form(s) and as directed by NAM. Pending resolution of any dispute concerning the administration of the Mass Arbitration by NAM, you and we agree that all arbitrations comprising the Mass Arbitration (and any obligation to pay arbitration fees) shall be stayed. Disagreements over the applicability of this Mass Arbitration process will be settled in a single, consolidated arbitration proceeding before NAM that includes all affected parties and will be resolved by a single arbitrator subject to the requirements of this section. Notwithstanding any provision in this Agreement to the contrary, any Mass Arbitration shall take place in Wilmington, Delaware or, if the parties prefer, by video conference or other remote means. The parties may also agree to conduct arbitration based on written submissions alone. If for any reason the provisions in this subsection "9" are found to be unenforceable, or if for any reason NAM is unable to administer the Mass Arbitration, then the disputes comprising the Mass Arbitration shall be administered by ADR Services, Inc. ("ADR Services") consistent with the provisions of this arbitration agreement and this Agreement and in accordance with ADR Services' rules and procedures, including any supplementary rules and fee schedules then in effect. ADR Services' rules are available at https://www.adrservices.com/services-2/arbitration-rules/.

      In the event that 25 or more Mass Arbitration demands are allowed to be submitted for arbitration, NAM or ADR Services, as applicable, shall: (i) administer the arbitration demands in 25 batches, with the discretion to create additional batches to facilitate the efficient resolution of demands; and (ii) apply a single set of applicable arbitration fees per batch for each side as set forth in the applicable fee schedule governing mass arbitrations. You agree to cooperate in good faith to implement this batch approach to facilitate the efficient resolution of claims. Notwithstanding the foregoing, Geni reserves all rights and defenses as to each and any Claim and claimant.

    10. Opt-Out Procedure

      You have the right to opt out of this arbitration provision as follows: (a) if you signed up to Geni after August 5, 2026 (the "Arbitration Effective Date"), then you have 30 days from the date you signed up to opt out; or (b) if you signed up to Geni before or on the Arbitration Effective Date, then you have 30 days from the Arbitration Effective Date to opt out, as Geni will attempt to inform you by email within 10 days of the Arbitration Effective Date about the changes in this Agreement that include the arbitration provision. To opt out of the arbitration provision, write to us by sending an e-mail with the subject of "Arbitration Opt-Out" to opt-out@geni.com, or via courier or registered mail at Geni.com, 2080 Empire Avenue #1233, Burbank, CA 91504 USA, with the notation "Arbitration Opt-Out". When opting out, it is required to provide your account ID or the email address you used to sign up to Geni. If you do not opt out within the timeframes designated in this subsection, you are not eligible to opt out of this provision and must pursue your claim through individual binding arbitration, except as set forth above. If you opt out of the arbitration provision, all other parts of this Agreement will continue to apply. Opting out of this arbitration provision has no effect on any previous, other, or future arbitration agreements that you may have with Geni.

  17. Indemnity. You agree to indemnify and hold Geni, its subsidiaries, agents, licensors, managers, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of or access to the Geni Services, your violation of this Agreement, breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Website or through the Geni Services causes Geni to be liable to any third party.
  18. Other. This Agreement constitutes the entire agreement between you and Geni regarding the use of the Geni Services. The failure of Geni to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. Geni is a trademark of Geni.com. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Geni without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
  19. Statute of Limitations. You agree that, regardless of any statute or law to the contrary (to the extent allowed by applicable law), any claim or cause of action, arising out of or related to use of the Geni Services or this Agreement, must be filed within one (1) year after such claim or cause of action arose or be forever barred.
  20. Notification Procedures. Geni may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to Users via email notice, written or hard copy notice, or through conspicuous posting of such notice on our Website page, as determined by Geni in its sole discretion. Geni reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement.
